Exhibit A - Escrow and Continuity Rider (Template)

Internal template for Enterprise Orders. Attach to the Order Form; it modifies the ISL-R source license only for the Licensee named in that Order, and only as stated here. Have counsel review before first real use.

This Rider supplements Order No. [YYYY-NNN] between Licensor and Licensee. Capitalized terms have the meanings given in ISL-R 1.2 and the Jaunty Redistribution Exception 1.0.

1. Source deposit

Licensor provides Licensee, per release, a complete source drop of the licensed Product(s) sufficient to build the shipped binaries (source code, build scripts, and build instructions). Source remains governed by ISL-R 1.2 except as expressly modified by Section 3 of this Rider.

2. Trigger events

A "Trigger Event" occurs if any of the following happens during the Term and is not cured within [30] days of written notice:

1. Licensor permanently ceases business operations without a successor assuming this Order;
2. Licensor formally discontinues the Product without offering a functionally equivalent successor and without a final maintenance period of at least [12] months;
3. A defect classified critical (production down, no workaround) remains unresolved past [60] days from report.

3. Contingent rights

Upon a Trigger Event, and for the remainder of the Term plus [24] months:

• Licensee may build the deposited source and modify it solely to maintain its own internal production use of the Product (security patches, compatibility fixes, defect corrections).
• These rights are internal-only: no distribution, no sublicensing, no offering the Product or derivatives to third parties, no use of modifications outside Licensee's own systems.
• ISL-R's ethical restrictions (Sections 4 and 5) continue to apply to all use and modifications.
• All modifications remain Derivative Works owned per ISL-R; if Licensor (or a successor) resumes operations or support, Licensee's modification right ends at the next renewal, and Licensor may request a copy of security-relevant patches.

4. No other effect

Except as stated in Section 3, nothing in this Rider modifies ISL-R, the Redistribution Exception, or the Order. This Rider grants no rights before a Trigger Event occurs.
